Our firm has extensive experience in complex international and local corporate transactions, mergers and acquisitions in some of the main productive sectors of Uruguay, financing operations and regulatory matters.

Our areas of practice in the corporate field include corporate management, incorporation of companies and corporate restructuring in complex multi-jurisdictional corporate structures, including the establishment of special purpose vehicles (SPVs) for specific investments and in joint ventures between local and foreign companies; shareholders' meetings; duties and liability of directors and managers; credit, mortgage and bank foreclosures; asset recovery and bankruptcy.

We also have extensive experience in the negotiation and structuring of contracts, including financing trusts; share purchase and sale agreements and project finance agreements; leasing of assets in Uruguay or abroad through Uruguayan corporate vehicles; permits and regulations for the creation of companies.

We participate in the implementation of franchises, representations and distribution agreements of international companies, advising on the issues to be considered prior to installation, and adapting international agreements to local regulations, including aspects of competition monopoly legislation.
